By registering for an account, browsing products, making purchases, using our expense tracker, or accessing our merchant point-of-sale (POS) and inventory tools, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy.

If you are accepting these Terms on behalf of a business, merchant, or legal entity, you represent and warrant that you possess the authority to bind that entity to these Terms. In such cases, "you" and "your" refer both to you individually and to that business entity.

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to register an account with pdshopping. By creating an account, you represent and warrant that all registration information you provide is truthful, accurate, current, and complete.

pdshopping operates an interactive marketplace facilitating the purchase of groceries, household essentials, and retail goods from participating local merchants and verified partner stores.

For retail partners, store managers, and cashiers utilizing pdshopping's Point of Sale (POS), warehouse, and inventory management platform:

• Inventory Accuracy: Merchants are responsible for maintaining accurate catalog pricing, barcode listings, stock counts, and tax categories.
• Cashier & Staff Roles: Account administrators control employee permissions and access levels. Merchants remain responsible for all transactions executed through their terminals.
• Sales Receipts & Compliance: Receipts generated through our POS comply with standard commercial regulations. Merchants must ensure applicable local taxes (e.g. VAT) are properly applied.
• Hardware & Network Compatibility: Merchants are responsible for maintaining compatible POS hardware (tablets, receipt printers, barcode scanners) and reliable internet connectivity.

pdshopping includes tools to log purchases, track recurring expenses, categorize spending, and estimate shopping budgets.

All prices on the platform are stated in the local currency applicable to your region (e.g., KES or USD) and are inclusive of applicable taxes unless specifically noted otherwise at checkout.

• Payment Processing: We partner with certified third-party payment gateways (including credit cards, debit cards, and mobile money services like M-Pesa). By submitting payment details, you authorize our payment processors to charge the designated payment method.
• Merchant Payouts & Platform Fees: For merchant sales executed on our marketplace, applicable transaction commission and platform fees are deducted prior to disbursement according to the merchant service agreement.
• Price Adjustments: We reserve the right to correct typographical errors in pricing even after an order has been placed, giving you the option to confirm at the corrected price or cancel.

The software, design, logos, graphics, icons, algorithms, databases, and content displayed on pdshopping are the intellectual property of pdshopping or its licensors and are protected under international copyright, trademark, and trade secret laws.

You are granted a limited, revocable, non-exclusive, and non-transferable license to access our platform for personal or authorized commercial store management. You may not reverse engineer, decompile, disassemble, copy, or distribute any part of our software.

When using pdshopping, you agree not to:

• Violate any local, national, or international statute or law.
• Deploy automated scrapers, crawlers, robots, or extraction scripts without our explicit written permission.
• Interfere with, compromise, or disrupt platform infrastructure, API rate limits, or server stability.
• Impersonate any person or entity, or provide deceptive, fraudulent, or misleading payment or merchant details.
• Circumvent platform payment processes or engage in fraudulent chargebacks.
• Post or transmit any harmful code, malware, viruses, or defamatory material.

Disclaimer of Warranties

pdshopping and all related services, tools, databases, and POS modules are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise. We do not warrant that our services will be uninterrupted, error-free, completely secure, or free from harmful components.

To the maximum extent permitted under applicable law, in no event shall pdshopping, its directors, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, goodwill, or business interruption) arising out of or in connection with your use of or inability to use our services.

Our total aggregate liability for all claims under these Terms shall not exceed the amount actually paid by you to pdshopping in the three (3) months preceding the incident giving rise to liability, or USD $100 (or local equivalent), whichever is greater.

You agree to defend, indemnify, and hold harmless pdshopping, its parent companies, subsidiaries, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to, use of, or misuse of our platform, your violation of these Terms, or your infringement of any third-party rights.

These Terms and any action related thereto shall be governed by and construed in accordance with the laws of Kenya, without regard to conflicts of law principles.

Informal Resolution: Before initiating formal legal proceedings, you and pdshopping agree to attempt in good faith to resolve any dispute, controversy, or claim amicably through direct discussions by contacting our legal team at legal@pdshopping.com. If a resolution is not reached within thirty (30) days, the dispute may be submitted to arbitration or competent courts.

We may update or revise these Terms from time to time to reflect changes in our features, legal obligations, or business practices. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, posting a prominent announcement within our platform or sending an email notification.

We reserve the right, in our sole discretion, to suspend or terminate your account or access to all or part of our services at any time, with or without cause or notice, especially in cases of suspected fraud, security breach, or violation of these Terms.
